Constitution
ARTICLE I. NAME
The name of the organization shall be the Oklahoma Association for Developmental Education (OKADE).

ARTICLE II. Purpose
SECTION 1. The organization's purpose shall be to promote high quality developmental education, with particular emphasis on post-secondary education, as essential to academic success for all learners.
SECTION 2. The objectives of this organization shall be to
A) create and promote greater interest in the learning and teaching of developmental education.
B) provide services and opportunities for the professional growth and
development of educators.
C) promote the value of developmental education.
D) work in cooperation with, promote the purposes of, and serve as a
resource for local, state, and federal organizations.
ARTICLE III. MEMBERSHIP
Any educator or other individual interested in the purpose and objectives of the Association may become an active member, upon payment of dues.

ARTICLE IV. OFFICERS
SECTION 1. The elected officers of the Association and their respective terms of office shall be: President (one year term), President-Elect (one year term), Past-President (one-year term), Treasurer (two-year term), Secretary (two-year term)
SECTION 2. The elected and appointed officers shall constitute the “Executive Committee” of the Association. This Committee shall be empowered to transact business of the Association that may arise between the annual meetings.
SECTION 3. The Executive Committee may select a maximum of four (4) other representatives to serve on the Executive Committee.
ARTICLE V. GENERAL ASSOCIATION MEETINGS
SECTION 1. There shall be at least one annual meeting of the Association.
SECTION 2. Any special meeting of the Association may be called by the President on authority of the Executive Committee.
SECTION 3. The active members voting at business meetings of the Association shall constitute a quorum for the transaction of business.

ARTICLE VI. AMENDMENTS
This constitution may be amended at any annual
meeting by a two-thirds vote of the active members present if a majority of the active members of the Association is present, or by a two-thirds vote of those active members present if notice of the amendment has been mailed to all active members at least ten days prior to the annual meeting at which the vote on the amendment is taken.
ARTICLE VII. DISSOLUTION
Upon dissolution of the Association, the Executive Committee shall, after paying or making provision for the payments of all the liabilities of the Association, dispose of all the assets of the Association exclusively for the purpose of the Association in such manner, or to such organization(s) established and operated exclusively for educational purposes that qualify as tax exempt under Section 50~ (C) (3) of the Internal Revenue Service Code of ~954 (or the corresponding provisions of any future united States Internal Revenue Law), as the Executive Committee shall determine.
ARTICLE VIII. AFFILIATIONS
SECTION 1. The Association may affiliate with other allied organizations (state or national) by a majority vote of the active membership.

BY-LAWS
ARTICLE I. ELECTION OF OFFICERS
SECTION 1.01. Prior to the annual meeting, the President shall appoint a nominating committee chaired by the Past-President. Membership on the committee shall be representative of the schools and colleges throughout Oklahoma. The nominating committee shall consist of four members and the chairperson.
SECTION 1.02. The nominating committee shall propose a slate of officers to be announced at a meeting prior to elections or through the mail at least ten (1.0) days prior to the election. The election of officers would normally occur at the annual meeting.
SECTION 1.03. Nominations will also be open to the floor at the election meeting. The nominee must be willing to accept the nomination in person, or in writing, if unable to attend the election meeting.
SECTION 1.04. Elections shall be held yearly and no later than the annual meeting.
SECTION 1.05. Voting will be by secret ballot and conducted by the President- Elect. Election shall be by simple majority of returned ballots. Balloting will continue until a simple majority is reached.
SECTION 1.06. Only members in good standing may vote. Those members in good standing are those members who have paid their dues.
SECTION 1.07. In the event that a vacancy occurs, it shall be filled by appointment of the President with Executive Committee approval.
ARTICLE II. DUTIES OF OFFICERS
SECTION 2.0l. The President shall
a) preside at all meetings of the Association, and assume primary responsibilities for all Association activities.
b) have the authority to call special meetings with the approval of the Executive Committee.
c) attempt to ensure that the Executive Committee has members representing secondary, vocational technical, two-year, and four-year institutions. When this is not the case, the President shall appoint such a representative with the approval of the Executive Committee. Appointment shall be accordance with Article IV Sections 2 and 3 of the Constitution and Article V Section 501 of the By-Laws.
d) appoint a historian who will also serve on the Executive Committee. A co-historian may also be appointed as deemed necessary by the President. The co-historian shall also serve on the Executive Committee.
e) have the authority to make individual and/or committee appointments as are necessary.
f) submit a state of the organization report at the annual meeting.
g) be the spokesperson for the Association.
SECTION 2.02. The President-Elect shall
a) prepare to assume the duties of the President the following year.
b) assume the duties of the President in the President's absence.
c) chair the committee responsible for the annual conference.
SECTION 2.03. The Past-President shall
a) install the newly elected officers at the annual meeting.
b) serve as Chairperson of the Nominating Committee.
c) assume the duties of the President in the absence of both the President and President-Elect.
SECTION 2.04. The Treasurer shall
a) bill and collect all dues, both individual and institutional.
b) process all purchases orders, including those for institutional assessment of dues.
c) have charge of all monies collected.
d) pay all approved bills.
e) keep books.
f) prepare a yearly financial statement for approval by the Executive Committee for presentation to the Association membership at the annual meeting.
g) maintain an official list of members in good standing.
h) maintain a mailing list for Association correspondence.

a) be recorder for the Association.
b) keep minutes of all Executive Committee meetings and annual Association meetings.
c) maintain the website with current information.
d) handle the general correspondence of the Association, including newsletters.
e) be custodian of all Association records.
SECTION 2.06. Additional Assigned Duties
Each officer shall perform additional duties as assigned by the Association President.

SECTION 3.01. Initially, dues for this Association are $10.00. Payment of OKADE annual conference attendance fees waives payment.
SECTION 3.02. Upon receipt of the dues, the person shall be a member in good standing for the remainder of the academic year.
SECTION 3.03. The amount of the dues shall be established by the Executive Committee and become effective upon approval by a majority vote of the membership at an annual meeting of the Association.
SECTION 3.04. Dues will be billed each academic year at a time determined by the Executive Committee.

SECTION 4.01. The proceedings of this Association shall be governed by “Robert's Revised Rules of Order. "
ARTICLE V. THE EXECUTIVE COMMITTEE
SECTION 5.01. Association officers and appointed representatives, as stipulated in Article II sections 201.c, 201.d, and 201.e of these By-Laws, shall serve as members of the Executive Committee.
SECTION 5.02. The presiding officer of the Executive Committee is the President.
SECTION 5.03. The Executive Committee shall determine the time and place of meetings, including the annual meeting. The Committee shall also plan activities for the Association, coordinate the annual meeting, recommend to the President members to fill vacancies, carry out routine business of the Association between annual meetings, and make recommendations to the Association on expending funds.
SECTION 5.04. The Executive Committee shall establish other committees as deemed necessary for meeting the goals and objectives of the Association.
ARTICLE VI. QUORUM
SECTION 6.01. A quorum shall consist of those members present at an annual meeting or at an Executive Committee meeting.
ARTICLE VII. AMENDMENTS
SECTION 7.01. The Constitution and By-Laws may be amended at the annual meeting provided the proposed amendments have been presented to the Executive Committee.
SECTION 7.02. Proposed amendments must be in writing and presented to the Executive Committee at least thirty days prior to the annual meeting. The Executive Committee shall present them to the· membership for acceptance, rejection, or for alteration. The Executive Committee can not alter or discard an amendment without the consent of its author(s).
SECTION 7.03. Two-thirds of a quorum at an annual meeting is required to amend the Constitution and/or By-Laws.
ARTICLE VIII. ADHOC AND/OR STANDING COMMITTEES
SECTION 8.01. The President may appoint ad hoc committees to perform duties as deemed necessary by the Executive Committee.
SECTION 8.02. A standing committee for the election of officers shall be appointed by the President and chaired by the Past-President.
SECTION 8.03. A standing committee for the planning of the annual conference shall be chaired by President-Elect.
ARTICLE IX. AUTHORITY
SECTION 9.01. The Oklahoma Association for the Improvement of Developmental Education shall be governed by the Constitution and By-Laws of the Association. All revisions and amendments thereto are automatically accepted by this Association upon membership approval and are to be incorporated in these By-Laws as editorial changes.
SECTION 9.02. This Association is organized and shall be operated for charitable and educational purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code of 1954.
SECTION 9.03. The Constitution and By-Laws are effective after ratification by two thirds vote of a quorum at the first annual meeting.
SECTION 9.04. Upon the possible affiliation with a national organization, these By-Laws will be automatically amended to accept the authority of the national affiliation.
